Mobile Wallets: Citi Card Terms and Conditions

SCOPE
These terms and conditions ("Terms and Conditions") set out the agreement between you and Citibank Europe plc and/or Citibank Europe plc, UK Branch ("Citibank") that governs your access to and use of your eligible Citibank commercial credit card (each, a “Card”) account(s) linked through mobile wallets.
The words "you" and "your" in these Terms and Conditions refer to you, as an Individual Cardholder of Cards seeking to use one or more mobile wallets for such Cards. The words "we" or "us" mean Citibank.
"Cardholder" means (a) the person in whose name the account associated with a Card is established, or (b) an authorized user of a Card.
The term "mobile wallet" means mobile wallets enabling use of a tokenized Card and the Card provisioning functionality performed, and transaction history displayed, by such mobile wallet applications on any Eligible Device.
Unless otherwise stated herein, these Terms and Conditions do not apply to non-tokenized transactions in a wallet provider's other products (e.g. products enabling payment in app-stores or through internet browsers). Your use of such other products are subject to the terms and conditions contained in the related terms of service provided by the provider of such non-tokenized product, with respect to the use of that product.
You agree to receive these Terms and Conditions electronically. By using your Card in a mobile wallet, you agree to only use your Card through that mobile wallet in accordance with these Terms and Conditions.
Your use of mobile wallets to purchase goods and services with your Card is governed by the applicable Agreement for Citi Commercial Cards Programs (“Card Agreement”) between us and the Company. "Company" means the organization through which a Card account was established. You agree that any disputes between you and us arising from your access to or use of such Card in connection with a mobile wallet shall be resolved through the Company and in accordance with the terms and conditions of such Card Agreement.
You also agree that your use of any mobile wallet is subject to the applicable mobile wallet provider’s terms and conditions ("Wallet Terms").
ELIGIBILITY / ENROLLMENT
Mobile wallets are available to Cardholder(s) for the purposes of purchasing goods and services with a device that the related mobile wallet provider or its affiliates deems compatible with its mobile wallet application ("Eligible Devices") at merchants that accept the applicable mobile wallet as a form of payment through near field communication ("NFC") enabled payment terminals or (when available) for in-app purchases or magnetic secure transmission ("MST") as further described in the Wallet Terms, and authorized merchant websites when using a compatible device or browser. Mobile wallets allow you to use your Eligible Device to access and use your Card(s) to make such purchases in place of presenting or using your physical Card. To add your Card to a mobile wallet, you must register your Card with each mobile wallet by linking ("provisioning") your Card to an Eligible Device. You may be required to take additional steps to authenticate yourself before your Card is added to a mobile wallet, including by providing additional identifying information. You will be required to complete this provisioning process for each mobile wallet that you desire to use. In provisioning, we add a unique numerical identifier different from your Card number ("Token") to your Eligible Device that enables you to make purchases through the mobile wallet. If your physical plastic Card is lost or stolen, but your Eligible Device is not lost or stolen, your new physical plastic Card number will automatically be updated and linked to the mobile wallet upon activating your new physical plastic Card. Due to the manner in which the mobile wallets operate, you may need to present your Eligible Device at a merchant when you return an item purchased using a mobile wallet on such Eligible Device.
AUTHORIZATION TO USE OF WIRELESS DATA
You authorize your mobile operator to disclose your mobile number, name, address, email, network status, customer type, customer role, billing type, mobile device identifiers ('IMSI and IMEI') and other subscriber status details, if available, to Citibank and/or its affiliates and agents solely to allow verification of your identity and to compare information that you have provided to Citibank with your wireless operator account profile information for the duration of your use of the Card and the mobile wallet.
YOUR USE OF CITIBANK CARDS THROUGH MOBILE WALLETS
You must contact us immediately if your Eligible Device is lost or stolen, your PIN, pattern, password, or other appropriate security code is compromised, or your Card has been used through a mobile wallet without your permission. We will not be responsible for any losses you or the Company incur except as set out in the Card Agreement, or as may be required by law.
You agree that the transaction history and merchant details displayed in a mobile wallet in connection with the use of your Card in that mobile wallet solely represents our authorization of your mobile wallet transaction and does not reflect any post-authorization activity, including but not limited to clearing, settlement, foreign currency exchange, reversals, returns, or chargebacks. Accordingly, the purchase amount, currency, and other details for your mobile wallet transaction history in connection with the use of your Card in mobile wallets may not match the transactions that ultimately clear, settle, and post to your Card's billing statement.
We do not charge any fees for adding your Card to mobile wallets. The usual fees associated with using your Card will still apply as set out in the Card Agreement. The mobile wallet provider or other third parties (for example, mobile network operators) may separately charge you fees in relation to your use of the mobile wallet or Eligible Device. These fees are between you and the mobile wallet provider or relevant third party and you are solely responsible for paying such fees or other charges.
As a condition to using your Card in connection with mobile wallets, you agree that we may send notifications and automatically dialled calls or text messages to your devices and phones, including at the phone number you provide, and which we send to you for the purposes of Card authentication, providing service announcements, transaction confirmation or other security-related purposes, fraud prevention and detection and any other purposes permitted by applicable law. To the extent permitted by applicable law, we reserve the right to restrict, suspend, cancel or discontinue your right to use your Cards in connection with mobile wallets at any time without notice.
Your mobile wallet provider or a third party may also block, restrict, suspend, or terminate your use of the mobile wallet without reference to us, and we cannot be liable if this happens.
Devices modified contrary to the manufacturer's software or hardware guidelines, including by disabling hardware or software controls—sometimes referred to as "jailbreaking"—are not Eligible Devices. You agree that the use of a modified device to use your Card in connection with mobile wallets is expressly prohibited, constitutes a violation of these Terms and Conditions, and is grounds for us to deny your access to your Card(s) through mobile wallets.
SECURITY
You must maintain the confidentiality of any information shown or stored on your Eligible Device in connection with the mobile wallet. You are solely responsible for the safety and security of your Eligible Device. In particular, you must: (i) Use appropriate security on your Eligible Device; (ii) Never give anyone else your security details. If you suspect that someone knows them, change them immediately and if necessary, suspend or disable the mobile wallet or remove your Card from it; (iii) Delete all Card details from your Eligible Device before you dispose of or replace it; (iv) Contact us immediately if the Eligible Device on which you have a Card has been lost or stolen and take all reasonable steps to suspend or disable it from being used.
AUTHORIZATION TO COLLECT AND SHARE DATA
You agree that we may collect, transmit, store, use and otherwise process technical, location, and login or other information about you and your use of your Cards through mobile wallets. If you provision a Card to a mobile wallet, you further agree that the wallet provider may use, store and disclose the Token associated with your Card or your Card to identify you in connection with your use of other payment products offered by the mobile wallet provider in accordance with the Wallet Terms. You also agree that: (i) the provider of the mobile wallet technology that supports your Cards in each mobile wallet, as well as that provider's subcontractors, agents, and affiliates; and (ii) the applicable payment network branded on your Card (e.g., Mastercard International Incorporated, or Visa, U.S.A., Inc.) as well as such network's subcontractors, agents, and affiliates, will have access to certain details of your transactions made with merchants via use of your Cards through each mobile wallet. We will use, share, process and protect your personal information (including your personal data) in accordance with the Card Agreement that governs your Card and in accordance with our Privacy Statement accessible at https://www.citibank.com/tts/sa/tts-privacy-statements/commercial-cards/ (or such other URL as we may notify to you from time-to-time).
You agree that the use and disclosure of any personal information (including personal data) provided by you directly to a mobile wallet provider, the applicable payment network branded on your Card, or other third parties supporting a mobile wallet, will be governed by such party's privacy policy and not the Card Agreement.
MERCHANT RELATIONSHIPS AND DISCLAIMERS
Merchants may present to you certain discounts, rebates, or other benefits (e.g., free shipping) ("Offers") in mobile wallets. Such Offers are subject to certain terms and conditions and may change at any time without notice to you. We will not be liable for any claim, loss or damage as a result of any interaction between you and a merchant with respect to such Offers. Subject to applicable law and the Card Agreement applicable to your Card, all matters, including delivery of goods and services, returns, and warranties, are solely between you and the applicable merchant(s). You agree that we do not endorse or warrant the merchants that are accessible through mobile wallets or the Offers that they provide.
CHANGES TO PARTICIPATION IN MOBILE WALLETS AND TERMS AND CONDITIONS
To the extent permitted by applicable law, at any time we may: (i) terminate your use of Cards in connection with any mobile wallet; (ii) modify or suspend the type or monetary amounts of transactions allowed using Cards in connection with any mobile wallet; (iii) change your Card's eligibility for use with any mobile wallet; and (iv) change the Card authentication process.
We may change these Terms and Conditions from time to time, by updating these terms. The continued use of your Card with the mobile wallet will mean that you have accepted the changes. If you do not agree to any updated Terms and Conditions, you may remove your Card(s) from the mobile wallet following the mobile wallet provider’s procedures for removal.
DISCLAIMERS OF WARRANTY
We do not own and do not operate the mobile wallet and therefore cannot be responsible for its use or performance in any way. We are not party to the Wallet Terms nor any other terms and conditions applicable to any mobile wallet between you and the related mobile wallet provider. We are not responsible for the mobile wallet if, for example, it requires updating, becomes unavailable, or if you are unable to use it for any transaction, or if a merchant refuses to accept payment using the mobile wallet.
We are also not responsible to you for maintenance or other support services, information, software or hardware provided to you by mobile wallet providers or any other third party. We are not liable for any failures or faults, or any security, availability or performance issues, affecting or relating to mobile wallets or your Eligible Device. We recommend that you read your mobile wallet provider terms and conditions for more information on these issues.
You may also have agreements with other third parties in relation to your use of mobile wallets. We are not responsible for any agreements you enter into with these third parties.
YOUR REPRESENTATIONS
You confirm to us that: (i) to the extent you identified a name at registration, the name identified by you when you registered your Card to be added to a mobile wallet is your name; (ii) you are a Cardholder of the Card(s) that you added to any mobile wallet; (iii) you have the authority to authorize the receipt of notices, calls and text messages from Citibank at the phone number that you provide to us; (iv) you and all transactions initiated by you will comply with all laws, rules, and regulations applicable to you, including any applicable tax laws and regulations; and (v) you will not use your Card through a mobile wallet for any fraudulent undertaking or in any manner so as to interfere with the operation of the mobile wallet.
GOVERNING LAW
The same laws that govern the Card Agreement between Citibank and the Company shall govern these Terms and Conditions.
